1. Overview
These Terms of Service ("Terms") are a binding agreement between you and W3MediaLabs, LLC, the operator of Wedge-Planner ("Wedge-Planner," "we," "our," or "us"). By creating an account, accepting these Terms, accessing the service, or using any Wedge-Planner feature, you agree to these Terms and to the Privacy Policy.
If you do not agree, do not create an account, access, or use Wedge-Planner.
2. Eligibility And Accounts
You must be at least 18 years old and able to enter into a binding agreement to use Wedge-Planner. You are responsible for maintaining accurate account information, protecting your login credentials, and all activity that occurs under your account.
You must promptly notify us if you believe your account has been accessed without authorization. We may suspend, restrict, or terminate an account if we reasonably believe the account is compromised, abusive, unlawful, unpaid, or being used in a way that threatens Wedge-Planner, other users, or third parties.
3. The Service
Wedge-Planner is a cloud-based subscription software platform for segmented woodturning and related woodworking planning. The service may include project design, vessel and profile editing, ring layouts, feature design, comments, public galleries, shared previews, build-guide generation, educational content, community features, AI-assisted functionality, and related workflows.
We may add, change, limit, suspend, or discontinue features at any time. Some features may be labeled beta, preview, experimental, or AI-assisted and may be less complete or less stable than other parts of the service.
4. Trial, Free Access, Subscriptions, Cancellation, And Refunds
Wedge-Planner may offer eligible free accounts a one-time project-design trial. Unless we state otherwise in the product, that trial begins when you first start project-design work after account setup and any required legal acceptance are complete. Registering, verifying email, signing in, browsing, viewing previews, viewing or exporting existing projects, or using non-project tools by themselves do not start the project-design trial.
After a trial ends, existing projects may remain viewable or exportable on free access, but new project creation and project-design editing may require a paid subscription. Access levels, plan features, promotional access, administrative overrides, extensions, and pricing may change over time.
Paid subscriptions are billed in advance on a recurring basis until cancelled. By purchasing a subscription, you authorize us and our payment processor to charge your selected payment method for recurring fees, taxes, and other disclosed charges.
You may cancel from the account or billing area at any time. Cancellation stops future renewal and takes effect at the end of the then-current paid billing period unless the product expressly says otherwise. Subscription cancellation is not an account-deletion instruction and does not automatically delete your projects, Features, or account data.
All fees are non-refundable except where required by law. We do not provide prorated refunds, partial refunds, credits for unused time, or retroactive downgrades unless we expressly agree in writing or applicable law requires otherwise.
5. Woodworking Safety, Verification, And AI Outputs
Wedge-Planner is a planning and design tool only. It is not engineering advice, manufacturing advice, machining advice, professional advice, or safety advice.
Woodworking and related shop activities involve risks, including property damage, equipment damage, personal injury, serious bodily injury, and death. We do not supervise, control, inspect, or verify your physical woodworking activities, tools, materials, machines, jigs, joinery, workholding, dust collection, finishes, or shop practices.
You are solely responsible for independently verifying all dimensions, calculations, ring layouts, segment counts, material suitability, tooling assumptions, machine setup, clearances, cut plans, build guides, exports, previews, recommendations, and AI-generated or AI-assisted outputs before relying on them or using them in a shop.
AI-generated outputs, recommendations, guides, interpretations, analyses, and suggestions may be incomplete, inaccurate, unsafe, or unsuitable for a particular project, tool, material, or use. You assume all risks associated with implementing outputs generated by or through Wedge-Planner.
6. Your Designs, Content, And Ownership
You retain ownership of your original project designs, vessel designs, ring layouts, feature designs, images, notes, comments, uploads, and other original content you create or submit to Wedge-Planner ("User Content"). We do not claim ownership of your User Content, and we do not sell private project designs as standalone design files.
You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, back up, secure, analyze, transform, export, and otherwise process User Content as needed to provide, maintain, secure, support, troubleshoot, improve, and develop Wedge-Planner and related products.
You represent and warrant that you have all rights necessary to submit and use User Content in Wedge-Planner and that your User Content does not violate law or any patent, copyright, trademark, trade secret, privacy, publicity, contractual, or other third-party right.
7. Wedge-Planner Property, Derived Knowledge, And Product Development
W3MediaLabs retains exclusive ownership of Wedge-Planner, including its software, algorithms, calculations, build-guide generation systems, feature-generation systems, AI systems, training systems, user interfaces, databases, documentation, branding, product workflows, product improvements, and commercial offerings.
You acknowledge that we may analyze User Content and activity to identify techniques, methods, relationships, patterns, workflows, processes, geometry relationships, design choices, feature structures, build approaches, and other generalized knowledge derived from operation of the service.
We may use those learnings to operate, maintain, secure, improve, and commercialize Wedge-Planner and to create future products, services, technologies, workflows, automated systems, AI-assisted design tools, feature interpretation systems, feature decomposition systems, reverse-engineering assistance, automated build-guide generation, design recommendation systems, and other commercial offerings.
Your ownership of original User Content does not give you ownership of, or any right to royalties, compensation, licensing fees, attribution, revenue sharing, approval, or control over, technologies, algorithms, workflows, models, systems, product improvements, generalized knowledge, or commercial products arising from our analysis, abstraction, generalization, interpretation, automation, or incorporation of knowledge derived from operating Wedge-Planner.
If you send us ideas, suggestions, corrections, feature requests, or other feedback, you authorize us to use, modify, and incorporate that feedback without compensation or restriction.
8. Public, Shared, Submitted, Featured, And Community Content
If you intentionally make User Content public, shared, submitted, featured, gallery-visible, community-visible, or otherwise visible outside your private account, you grant us a non-exclusive, worldwide, royalty-free license to host, display, reproduce, publish, distribute, adapt for presentation, create previews and thumbnails, moderate, index, promote, advertise, and showcase that content in connection with Wedge-Planner.
This license allows us to use public or shared content in product demonstrations, educational materials, website content, social media, advertising, marketing materials, trade show displays, support materials, and other Wedge-Planner promotional contexts without compensation.
If you later remove or disable public content, we will stop future public display where reasonably practical. However, prior marketing uses, archived materials, backups, logs, cached copies, analytics, de-identified data, product improvements, legal records, and materials already distributed or prepared may remain to the extent reasonably necessary.
9. Community Standards And Acceptable Use
You may use Wedge-Planner only for lawful purposes and in accordance with these Terms. These rules apply to current and future product surfaces, including public galleries, shared previews, comments, community features, forums, uploads, and messaging or contact features.
You may not harass, bully, threaten, stalk, intimidate, discriminate against, impersonate, or misrepresent affiliations with any person or organization. You may not post or transmit hateful, obscene, sexually explicit, unlawful, violent, infringing, deceptive, abusive, spammy, or disruptive content, or content that promotes illegal activity.
You may not engage in personal attacks, repeated unwanted contact, hostile conduct, manipulation of ratings or engagement systems, community disruption, or other conduct that we believe harms users, the community, or the service.
You may not reverse engineer the platform, attempt to discover source code, scrape or harvest content or data, use bots or automated access without authorization, circumvent subscriptions, licensing restrictions, access controls, usage limits, rate limits, or security measures, perform denial-of-service activity, upload malicious code, or attempt unauthorized access.
We may investigate suspected misuse and, in our sole discretion, remove, lock, hide, restrict, or moderate content; suspend or terminate accounts; block access; preserve evidence; or take other action to maintain a safe, lawful, and productive service environment. We have no obligation to host, retain, display, or continue displaying any User Content.
10. Copyright And Intellectual Property Complaints
If you believe content on Wedge-Planner infringes your copyright or other intellectual property rights, contact our copyright and intellectual property notice address at legal@wedge-planner.com. Your notice should include enough information for us to identify the work, locate the allegedly infringing material, contact you, and understand the basis for your complaint.
For copyright notices intended under the Digital Millennium Copyright Act, please include: your physical or electronic signature; identification of the copyrighted work claimed to be infringed; identification and location of the material claimed to be infringing; your contact information; a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act for the owner.
We may remove or disable access to allegedly infringing content while a claim is reviewed, and we may terminate accounts of repeat infringers where appropriate.
11. Privacy
Our collection, use, sharing, account-lifecycle processing, and retention of information is described in the Privacy Policy. By using Wedge-Planner, you acknowledge that we may process information as described in that policy.
12. Availability, Account Lifecycle, Data Retention, And Backups
We work to keep Wedge-Planner available, but we do not guarantee uninterrupted, error-free, loss-free, or permanently available operation. Outages, maintenance, provider failures, security incidents, data corruption, user error, and unexpected defects can occur.
You are responsible for maintaining your own exports, project copies, shop notes, and backups. We do not guarantee permanent storage, indefinite retention, recovery of erased data, recovery after the recoverable-closure period, recovery after service interruption, or restoration from backups.
Recoverable closure. An owner may submit a verified Close Account request. After approval, account access, billing, sessions, public preview links, and public or gallery exposure are ended or disabled, while private projects, Features, editor state, histories, assignments, notes, and owned files are archived for exactly two years. The owner may recover during that period through strong email verification. Recovery does not automatically restart billing or public sharing. We may send reminders approximately 90 and 30 days before the scheduled pruning date.
At the two-year anniversary, the closed account becomes eligible for governed pruning. A legal, security, billing, administrative, or litigation hold may pause pruning. Subscription cancellation, payment failure, inactivity, quota enforcement, security suspension, or ordinary administrative deactivation does not by itself authorize account deletion.
Irreversible erasure. Permanent account erasure is a separate owner-initiated workflow. It requires an authenticated non-support session, current-password verification, an explicit typed request, an emailed single-use code that cannot be used for 24 hours and expires after seven days, a second current-password check, and a final irreversible confirmation. Once validly confirmed and processed, ordinary account recovery is not available.
Erasure and pruning may retain narrowly necessary billing, tax, legal, security, anti-abuse, consent, suppression, dispute, transaction, or audit evidence where lawful. Aggregate analytics, de-identified information, generalized learnings, and product improvements may remain where they no longer identify the account.
Backups are isolated from ordinary product use and age out under the applicable backup-retention schedule. Disaster recovery must reapply completed-erasure evidence before restored data returns to ordinary use. We do not promise immediate removal from every backup copy or restoration from backups.
13. Suspension And Termination
You may stop using Wedge-Planner at any time. We may suspend or terminate access immediately if we reasonably believe you violated these Terms, created risk for the service or others, failed to pay fees, submitted infringing content, or used the service unlawfully or abusively.
Suspension or termination of access is not automatically a permanent erasure instruction. It does not require us to continue offering any feature, retain content indefinitely, or preserve any account state beyond the published account-lifecycle, retention, backup, compliance, and security practices. Sections that by their nature should survive termination will survive, including ownership, licenses, safety disclaimers, data and product-development rights, acceptable-use enforcement, retention limits, warranty disclaimers, liability limits, indemnity, dispute terms, and payment obligations.
14. Disclaimers
Wedge-Planner is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, quiet enjoyment, and suitability for any particular project, tool, material, or shop environment.
We do not guarantee that calculations, outputs, build guides, previews, exports, comments, community content, AI-assisted outputs, recommendations, or third-party integrations will be complete, accurate, reliable, secure, available, or suitable for your intended use.
15. Limitation Of Liability
To the fullest extent permitted by law, W3MediaLabs, LLC and its owners, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, lost data, lost goodwill, business interruption, replacement costs, or property or equipment damage, arising out of or related to Wedge-Planner or these Terms.
To the fullest extent permitted by law, our total aggregate liability for claims arising out of or related to Wedge-Planner or these Terms will not exceed the greater of (a) the total amount you paid us for Wedge-Planner in the twelve months before the claim arose, or (b) one hundred U.S. dollars (USD $100).
16. Indemnification
You agree to defend, indemnify, and hold harmless W3MediaLabs, LLC and its owners, employees, contractors, affiliates, and licensors from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your conduct, your use or misuse of Wedge-Planner, your implementation of outputs, your violation of these Terms, your violation of law, or your violation of intellectual property or other third-party rights.
17. Governing Law, Venue, And Class Action Waiver
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. Before filing a formal claim, you agree to contact us and give us a reasonable opportunity to try to resolve the issue informally.
Unless applicable law requires otherwise, any claim not resolved informally must be brought exclusively in the state or federal courts located in or serving Richland County, South Carolina, and you consent to personal jurisdiction and venue there.
To the fullest extent permitted by law, you and W3MediaLabs, LLC agree that claims must be brought only on an individual basis. You waive any right to participate in a class action, representative action, collective action, private attorney general action, or similar proceeding against us.
18. Updates, Notices, And Contact
We may update these Terms from time to time. Material updates may be presented through the app, by email, or both, and we may require acceptance of a new version before continued use of protected parts of the service.
Notices to you may be sent to the email address associated with your account or presented inside the product. Notices to us should be sent to support@wedge-planner.com.
